We reserve the absolute right to refuse to provide services or information to any client at any time for any reason. We are not responsible for any loss sustained as a result of the misuse of information. All services are provided on an 'as-is' basis. We make no representations or warranties regarding the services or information provided to the client, including (without limitation) the timeliness, currency, accuracy, adequacy, completeness, merchantability, or fitness for a particular purpose of the information or services, and we specifically disclaim all such warranties. We are not engaged in rendering legal advice. If legal assistance is required, the services of a competent attorney should be sought. The client agrees that Locate People, LLC will not be liable for any loss, damage, or injury caused in whole or in part by Locate People, LLC's negligence in performing the services or in procuring, interpreting, or delivering information to the client. In the event that Locate People, LLC is found liable for any cost or damage suffered by the client, that liability is limited to the professional fees charged for the particular searches or services in question. In no event shall Locate People, LLC or DBAs be liable for any direct, indirect, special, incidental, exemplary, or consequential damages. "The client shall not request professional services or information (nor shall the client use or permit any third party to use any information provided by Locate People, LLC) for any purpose contrary to or in violation of any applicable federal, state, or local law, rule, or regulation, including, without limitation, the Fair Credit Reporting Act (15 U.S.C.A. 1681 et seq.). The client understands that Locate People, LLC is not a consumer credit reporting agency as defined in the FCRA, and information provided by Locate People, LLC may not be used as a factor in establishing a consumer’s eligibility for credit, insurance, employment, housing, or governmental licenses. The client agrees to indemnify and hold Locate People, LLC, its owners, officers, agents, and employees, harmless against all claims, expenses, losses (including attorney’s fees) of whatever kind or nature arising out of its misuse of the services or information provided to it by Locate People, LLC." "In the event any portion of this agreement is determined to be invalid, void, or otherwise unenforceable, the remaining provisions shall remain in full force and effect, and shall in no way be affected, impaired, or invalidated. It is understood that the remaining provisions shall be construed in a manner most closely approximating the intention of the parties." Failure of any party to exercise their rights upon any default of the other shall not be construed as the waiver of the right to insist upon full performance of all the terms and conditions of this agreement, or of the right to exercise any other right contained in this agreement. Any order or request for a search, once initiated, is not refundable and cannot be canceled once submitted for research and processing. This agreement shall be binding upon the heirs, estates, personal representatives, successors, and assigns of the parties. "The performance of services by Locate People, LLC is subject to interruption and delay due to causes beyond its reasonable control, such as acts of God, government, weather, fire, power or telecommunication failures, labor disputes, inability to obtain supplies, or breakdown of equipment. The terms set forth here constitute the entire agreement of the parties, and any additional or different terms or conditions set forth in any other document shall be of no effect. For example, if a customer orders a criminal record check and it comes back with no record or is clean, the customer will still be charged. Another example is if a customer orders a locate people search or another type of search; we may or may not locate records, as there are no guarantees.
